This Employee & Customer Privacy Notice (“Privacy Notice”) explains how Utilities International, Inc. dba UI Solutions Group (“we,” “us,” “our,” or “Company”) processes Personal Information about current and former employees, to include directors, officers, contractors and other part-time and full-time workers of the Company as well as customers whose data may be collected as part of an existing dependency to our clients. This policy applies to all current state Data Privacy laws where legislation has been signed, to include, California, Virginia, Colorado, Utah, Texas, Delaware, Maryland, Connecticut, Indiana, Iowa, Kentucky, Nebraska, Minnesota, Montana, New Jersey, Oregon, Rhode Island, Tennessee and New Hampshire (“you,” “your,” or “employee”), as well as the purposes for which we collect, use, and disclose that Personal Information, and your respective rights regarding such information.
In this Privacy Notice, “Personal Information” means information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with a particular employee, and “Sensitive Personal Information” means Personal Information that reveals an individual’s sensitive information (for example, government identifiers, account access credentials, precise geolocation, racial or ethnic origin, etc.). For purposes of this Privacy Notice, references to Personal Information include Sensitive Personal Information. Personal Information does not include information that is deidentified or lawfully made publicly available from government records, the employee, or widely distributed media. In order to operate and provide you with information, products and services that may be requested by or of interest to you, we may collect and retain “Personal Information” which means information that could be used to contact you such as full name, postal address, phone number, email address, information you provide as part of our service offering, bank or financial institution account numbers and billing address.
I. CHANGES TO THIS PRIVACY NOTICE
This Privacy Notice may be updated from time to time by us at our discretion to account for changes in the law or changes in our collection and/or processing of Personal Information. If we make material changes to this Privacy Notice, we will share the updated Privacy Notice with you.
II. INFORMATION WE COLLECT, USE AND DISCLOSE
We collect Personal Information about you as part of employment with the organization and/or personal identifiers that may be provided by our clients as part of our contractual obligations related to data provided to us. Which categories of Personal Information we collect, use, and disclose depends on the nature of your role within the Company and how you interact with us. We collect Personal Information directly from you, from your references, and from other third- party sources including [pension administrators, medical and occupational health professionals we engage, our insurance benefit administrators, your trade union, ADP, background check providers, clients].
We may disclose your Personal Information in the following circumstances:
- Other Company Entities. Other Company entities as may be necessary to administer our relationship with you or operate our business.
- Legal Obligation. In response to a legal obligation, including if reasonably necessary or appropriate to:
- Comply with any applicable federal, state, or local law or regulation, civil, criminal or regulatory inquiry, investigation or legal process, or enforceable governmental request;
- Respond to a legal process (such as a search warrant, subpoena, summons, or court order);
- Cooperate with law enforcement agencies concerning conduct or activity that we reasonably and in good faith believe may violate federal, state, or local law; or
- Exercise or defend legal claims, protect against harm to our rights, property, interests, or safety or the rights, property, interests, or safety of you, third-parties, or the public as required or permitted by law.
- Sale or Merger. In relation to a change of corporate control or other investment in Company, such as a restructuring, merger, or sale of some or all of our assets.
- Your Nominated Representative. Any representative you authorize to receive Personal Information on your behalf.
- Your Further Direction. Otherwise with your permission or upon your direction.
In the preceding 12 months, we collected and disclosed for a business purpose the following categories of Personal Information and Sensitive Personal Information (denoted by *) about employees:

III. HOW WE USE YOUR INFORMATION
We collect and use your Personal Information for various business purposes as an employer and as part of our service offering to our client base, including:
- Managing the employment lifecycle, such as onboarding, training, conducting surveys, terminating of the employment relationship, off-boarding and completing employment verifications for former employees.
- Recruitment and fulfilling of any employment contract, including making hiring, salary and benefits decisions.
- Storage of customer Personal Information as provided by our clients to maintain our application suite and service offering.
- UISG shall only collect and retain the minimal amount of Personal Information necessary to support the functioning of our proprietary software solution and to support our clients – in instances where Personal Information can be omitted, de-identified, masked or pseudonymized, UISG shall take reasonable measures to ensure this is done.
- UISG shall formally agree via contractual obligation with the client, any instance where customer Personal Information will be provided as part of the service offering, accounting for handling, retention, destruction and processing requirements.
- Financial matters, including payroll, retirement plan contributions and specific client instances related to the management of our software application suite.
- Management, planning, and organization of work.
- Monitoring of both your conduct and your performance and undertaking procedures regarding both of these if the need arises.
- Maintaining personnel records.
- Improving employment practices, including equality and diversity in the workplace.
- Enhancing and maintaining health and safety at work, including to comply with statutory health and safety monitoring and reporting and to secure the working environment and mitigate the spread of viruses or diseases (or similar) in the context of a healt emergency (in some cases, this could include collecting, using or disclosing information related to third parties with whom you are in contact or with whom you live).
- Safeguarding employees, dealing with emergencies and health matters, for example sick leave, sick pay, accommodations at the workplace, workplace health and safety and accessibility and ensuring the safe functioning of our offices.
- Preventing fraud.
- Handling investigations, claims, grievances, disciplinary proceedings, and defending or pursuing legal claims.
- Compliance with legal and regulatory obligations, including:
- state and Federal legislation related to the collecting, processing and storing of Personal Information
- legally binding contracts with clients related to the processing, storing, transmission and destruction of client Personal Information provided to the organization
- ensuring that tax and other statutory dues are paid
- responding to requests from foreign and domestic law enforcement, regulators and courts
- carrying out checks in relation to your right to work
- equal opportunities monitoring
- investigating claims of discrimination or harassment
- determining reasonable adjustments
- making reasonable adjustments for disabled employees
- managing statutory leave and pay systems such as maternity leave and pay
- complying with sickness absence management procedures.
In addition to the reasons listed above, we collect and use Sensitive Personal Information in connection with your employment for the following business purposes:
- Managing our employment relationship with you.
- Maintaining and improving efficiencies and processes in the workplace, to inform management decisions, and for effective employee administration.
- Defending your or our interests in actual or threatened legal proceedings, or regulatory, administrative, or legislative inquiries or investigations.
- Maintaining the safety and security of Company, our employees and others as required or permitted by law, to comply with contractual obligations, to enforce our policies, and to defend your or Company’s interests in legal proceedings.
- Monitoring equal employment opportunities.
- Conducting background verification processes (to the extent permitted by applicable laws).
- Protecting the health and safety of employees and others in our facilities to the extent permitted by applicable law (e.g. to monitor the spread of infectious diseases in the workplace (where appropriate)).]
We do not collect, use, or disclose Personal Information for purposes other than those specified in this Privacy Notice. In the preceding 12 months, we have not sold or shared for targeted advertising purposes Personal Information, and we do not have actual knowledge that we sell or share for targeted advertising purposes Personal Information of individuals under 16 years of age.
IV. RETENTION OF YOUR INFORMATION
We will retain Personal Information only for as long as necessary to fulfil the purposes for which we collected it. To determine the appropriate retention period, we consider the amount, nature and sensitivity of your Personal Information, the potential risk of harm from unauthorized use or disclosure of your Personal Information, the purposes for which we process your Personal Information and whether we can achieve those purposes through other means, and the applicable legal requirements. We will also retain and use your Personal Information to the extent necessary to comply with our legal obligations, resolve disputes, and enforce our policies. Additionally, we retain the Personal Information collected during the application process, and information about your application process, as part of your employee records. Any exception to this policy with respect to retention of customer data shall be defined on a case-by- case basis with the corresponding client entity that provides Personal Information directly to our organization.
V. YOUR RIGHTS
In compliance with state privacy law, you may have the rights listed below in relation to Personal Information that we have collected about you. However, these rights are not absolute, and in certain cases, we may decline your request as permitted by law.
- Right to Know. You have a right to request the following information about our collection, use and disclosure of your Personal Information over the prior 12 months, and ask that we provide you with a copy of the following:
- categories of and specific pieces of Personal Information we have collected about you;
- categories of sources from which we collect Personal Information;
- the business or commercial purposes for collecting Personal Information;
- categories of third parties to whom the Personal Information was disclosed for a business purpose; and
- categories of Personal Information disclosed about you for a business purpose.
- Right to Correct. You have a right to request that we correct inaccurate Personal Information maintained about you.
- Right to Request Deletion. You have a right to request that we delete your Personal Information, subject to certain exceptions.
- Right to Limit Use and Disclosure of Sensitive Personal Information. You have the right to limit our use and/or disclosure of Sensitive Personal Information to only what is necessary for purposes related to managing our employment relationship with you. However, we already limit our use and disclosure of Sensitive Personal Information in this way.
- Right to No Retaliation. We will not retaliate against you for exercising any of these rights.
You may exercise any of these rights by contacting us using the below contact information. We may need to collect information from you to verify your identity, such as government issued ID or date of birth, before providing a substantive response to the request. You may designate, in writing or through a power of attorney document, an authorized agent to make requests on your behalf to exercise your rights. Before accepting such a request from an agent, we will require that the agent provide proof you have authorized them to act on your behalf, and we may need you to verify your identity directly with us.
